Independent Recording Agreement (Artist)

Parties & purpose
This agreement (“Agreement”) is between the recording label operating this platform (“Label”) and the artist identified below (“Artist”).
Artist wishes to grant Label certain rights to exploit sound recordings and related materials; Label wishes to distribute, promote, and commercialize those materials subject to this Agreement.
Grant of rights
Artist grants Label a non-exclusive or exclusive license (as specified in a separate schedule or addendum) to reproduce, distribute, publicly perform, synchronize, and otherwise exploit the Masters (sound recordings) delivered under this Agreement, in all media now known or later developed.
Artist represents they own or control all rights necessary to grant the foregoing license, including performer and producer approvals where applicable.
Term & territory
The initial term begins on the Effective Date and continues for the period stated in the commercial schedule (default: rolling release-by-release unless terminated as provided herein).
Territory is worldwide unless a narrower territory is specified in writing by Label.
Royalties & accounting
Net receipts attributable to Masters shall be shared according to the royalty schedule agreed in writing (percentage splits, recoupment of advances, and third-party deductions).
Label shall provide reasonable statements of account on a periodic basis where commercially practical; Artist may audit records subject to confidentiality and notice provisions to be agreed.
Delivery & approvals
Artist shall deliver Masters in Label-specified formats, including metadata, artwork, and clearance documentation for samples and features.
Label may request edits for loudness, explicit content flags, or platform compliance; final release configuration is subject to Label’s reasonable editorial control.
Name, image & likeness
Artist grants Label the right to use Artist’s name, likeness, biographical materials, and artwork for promotion of the Masters and Label brand, subject to Artist’s reasonable dignity and brand guidelines communicated in writing.
Representations & warranties
Artist represents that: (i) they are not bound by any conflicting exclusive agreement; (ii) the Masters do not infringe third-party rights; (iii) all co-writers and featured performers are properly credited and cleared.
Indemnity
Artist shall indemnify and hold harmless Label from claims arising from breach of Artist’s representations, uncleared samples, or unauthorized use of third-party materials.
Termination
Either party may terminate for material breach not cured within thirty (30) days of notice. Survival clauses (indemnity, confidentiality, accounting) continue after termination.
Upon termination, rights revert subject to completed distribution commitments and platform takedown windows.
Miscellaneous
This Agreement is governed by the laws of the jurisdiction selected by Label, without regard to conflict-of-law rules.
Entire agreement; amendments must be in writing. Electronic signatures and scanned copies are binding.
